Agreement and Acceptance
Effective Date: These Terms of Service ("Terms") become effective upon launch of the Jivve application, anticipated for late 2025.
Legal Agreement: By accessing, downloading, or using Jivve ("the Service"), you enter into a legally binding agreement with BLKQ LLC ("Company," "we," "us," or "our").
Scope: These Terms apply to all users of the Jivve mobile application, website, and related services.
Important: If you do not agree to these Terms, you must not access or use our Service. Your use of Jivve constitutes acceptance of these Terms.
Eligibility and Account Requirements
Age Requirement (18+)
Jivve is intended exclusively for users who are 18 years of age or older. You represent and warrant that:
- • You are at least 18 years old
- • You have the legal capacity to enter into this agreement
- • You will provide accurate age verification when requested
- • You understand that providing false age information may result in immediate account termination
Legal Capacity
- • Legal authority to agree to these Terms
- • Not under legal guardianship affecting capacity
- • Authorized to use the Service in your jurisdiction
- • Not prohibited by court order or legal restriction
Account Information
- • Provide accurate and complete information
- • Maintain current contact information
- • Use your real identity (no fake personas)
- • One account per person
Acceptable Use Policy

Platform Abuse
- • Create fake accounts or impersonate others
- • Attempt to hack, reverse engineer, or exploit the app
- • Use automated tools, bots, or scrapers
- • Circumvent security measures or access controls
- • Interfere with other users' access to the Service
Legal Compliance
You agree to comply with all applicable laws and regulations, including:
- • Federal, state, and local laws in your jurisdiction
- • International laws if accessing from outside the United States
- • Export control and sanctions regulations
- • Intellectual property and privacy laws
Content and Intellectual Property
Your Content Ownership
You Retain Ownership: You maintain all rights to content you create and post on Jivve.
License to Jivve: By posting content, you grant us a non-exclusive, royalty-free, worldwide license to:
- • Display your content on the platform
- • Distribute content to other users as directed by your privacy settings
- • Create backup copies for service reliability
- • Moderate content for safety and compliance
- • Use content for service improvement and analytics (anonymized)
License Termination: This license ends when you delete content or terminate your account, subject to reasonable grace periods for technical removal.
Our Intellectual Property
The following are protected by intellectual property laws and owned by BLKQ LLC:
- • Jivve name, logo, and branding elements
- • Application software, algorithms, and source code
- • User interface design and user experience
- • Features, functionality, and service methodology
- • Documentation, marketing materials, and content
Limited Use: You may not use our intellectual property without express written permission.
Copyright and DMCA
Respect Copyright: Only post content you own or have permission to use.
DMCA Compliance: We respond to valid Digital Millennium Copyright Act takedown notices.
Report Copyright Infringement: Send DMCA notices to legal@jivveapp.com
Repeat Infringers: Accounts with multiple copyright violations will be terminated.
Privacy and Data Protection
Privacy Policy Integration: Our Privacy Policy is incorporated into these Terms by reference and governs our collection, use, and protection of your personal information.

Best Effort: We strive to maintain consistent service availability but cannot guarantee 100% uptime.

Emergency Downtime: Service may be unavailable due to technical issues, security incidents, or other unforeseen circumstances.
Service Modifications
We reserve the right to modify, update, or discontinue features of the Service with reasonable notice:

Disclaimers and Limitation of Liability

"AS IS" SERVICE: Jivve is provided on an "as is" and "as available" basis without warranties of any kind.
NO WARRANTIES: We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
USER CONTENT: We are not responsible for content posted by users or interactions between users.
THIRD-PARTY SERVICES: We are not liable for third-party services, websites, or applications that may be linked or integrated with Jivve.
Limitation of Liability
MAXIMUM LIABILITY: Our total liability to you for any claims arising from or related to the Service shall not exceed $100 or the amount you paid us in the 12 months before the claim, whichever is greater.
EXCLUDED DAMAGES: We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.
STATE LAW: Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.
Indemnification
You agree to indemnify and hold harmless BLKQ LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

Governing Law and Dispute Resolution

Jurisdiction: These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Dispute Resolution
Informal Resolution: Before filing any legal claim, you agree to first contact us at legal@jivveapp.com to resolve the dispute informally.
Binding Arbitration: Any disputes that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association.
Class Action Waiver: You agree not to participate in class actions, class arbitrations, or other representative proceedings against us.
Exception: Either party may seek injunctive relief in court for intellectual property violations or other urgent matters.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, legal requirements, or business operations.

Assignment
We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms.
Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or our right to enforce it.
